For LMC, GPs / GP Practices/ Primary Care Networks / GP Federations
Sunderland LMC has entered into an enhanced retainer agreement with the firm LMC Law.
The agreement covers legal/business consultancy services to the LMC, all GPs and GP practices, primary care networks and federations within the LMC area, who are formed essentially from constituents and members of the LMC.
SERVICES TO CONSTITUENTS
The Services shall consist of all legal and business matters relating to the delivery, support, negotiation, review, and advice in the following areas:
All primary and secondary care legislation, regulation, direction, policies affecting general practitioners in the various roles and in respect of their various responsibilities;
Support to primary care networks and federations in terms of corporate and commercial law advice.
Initial general advice relating to the creation of primary care networks and federation structures and documentation;
Up to one hours’ free advice on Zoom or Teams including but not limited to partnerships, GDPR, PCNs and corporate governance;
Advice on corporate governance issues;
Review of contracts, policies and any other document relating to any commissioned service, including NHS standard contracts and APMS contracts;
Advice on joint ventures and partnerships with other entities: community trusts, hospital trusts etc.;
Mergers of practices and caretaking arrangements – general advice on structure and advice on any documentation that may be required;
Provision of certain documentation or templates or policies which LMC Law feels it is appropriate to provide under this retainer.
The above is subject to the exclusions set out in General Terms and Conditions herein.
Retainer clients of LMC Law receive priority status and issues will be dealt with promptly, where possible.
GENERAL TERMS AND CONDITIONS
Whilst LMC Law will endeavour to answer most legal questions there may be exceptional occasions where a matter may require a more specialised or expert opinion. In such cases LMC Law shall inform the Client and may, if so requested, recommend an appropriate source which shall be at the Client’s expense.
For the avoidance of doubt, LMC Law shall not provide advice on the following:
Financial advice including but not limited to tax, PAYE, NI, VAT and investments;
Defamation/Libel (although general advice may be given only);
Landlord and tenant/property law (LMC Law can refer matters of this nature to one of our associate law firms who will provide a quote to the client as required);
Intellectual property (including but not limited to any intellectual property, licensing queries, trademark or patent registrations or copyright matters);
Civil/criminal litigation and or dispute resolution (LMC Law can refer matters of this nature to one of our associate law firms will provide a quote to the client as required);
HR and employment advice (advice may be obtained via a separate package under the LMC HR support service).
The above list is not intended to be exhaustive and may be varied from time to time by LMC Law. LMC Law cannot provide any services which may place it in conflict with any other LMC Law retainer client.
SPECIAL SERVICES
LMC Law shall charge competitive fixed rates (POA) for the following services (this list is not exhaustive) BUT shall ensure that where fees are charged to the LMC's constituents these fees are kept to a minimum and below market rate:
Partnership agreements and amendments to existing agreements;
Joint venture and collaborative arrangements;
Sub-contract arrangements or service level agreements with practices within a federation or primary care network;
Merger terms and conditions;
Merger and takeover documentation including due diligence
Agreements or sub-contracts for primary care networks;
Setting up companies or any other incorporated vehicles and associated advice
